Welcome to Ola Accountancy. By engaging with our services, you (the “Client”) agree to be bound by the following Terms & Conditions (“Terms”). If you do not agree to these Terms, please refrain from using our services.

1. Definitions

“We,” “Us,” “Our”: Refers to Ola Accountancy, a limited company registered in the United Kingdom (Company Number: [Insert Company Number]).

“You,” “Client”: Refers to the individual or business engaging our services.

“Services”: Refers to the accountancy and advisory services provided by Ola Accountancy as detailed in our offerings.

2. Scope of Services

We provide a range of professional services, including but not limited to:

Self-Employed Services: Tax preparation and filing, tax advice, support with HMRC investigations, CIS registration and compliance, monthly CIS returns, claiming CIS tax refunds, self-assessment tax returns, tax credits and benefits advice, and National Insurance Contributions (NICs) management.

Limited Company Services: Company formation and registration, corporation tax returns, statutory accounts preparation, bookkeeping and financial reporting, VAT registration and returns, payroll services, directors’ self-assessment tax returns, dividend planning and distribution, management accounts, business tax planning, CIS compliance for construction companies, audit services, company secretarial services, cash flow and budgeting advice, pension and retirement planning, support with HMRC investigations, expense management, and business growth and expansion advice.

Universal Credit Services: Universal Credit application support, guidance for couples, maximizing other benefits, Universal Credit disability elements assistance, and Personal Independence Payment (PIP) advice.

The precise nature and scope of the Services will be outlined in an engagement letter or agreement provided to you.

3. Engagement and Acceptance

Your engagement of our services is confirmed upon receipt of a signed engagement letter or agreement. You acknowledge that you have read and understood these Terms prior to engaging our services.

4. Fees and Payment Terms

Fees: Fees for services will be communicated in the engagement letter or invoice and are subject to VAT at the prevailing rate unless explicitly stated otherwise.

Payment Terms: All invoices must be settled within 14 days from the invoice date.

Methods of Payment: Payments shall be made via bank transfer to the account specified in the invoice.

Late Payment: Should payment not be received by the due date, we reserve the right to charge interest on the overdue amount at a rate of 8% per annum above the Bank of England base rate, calculated daily until payment is made in full. Additionally, we reserve the right to suspend services until all outstanding payments are received.

5. Client Responsibilities

You are obliged to:

Provide accurate, complete, and timely information necessary for the performance of our Services.

Notify us immediately of any changes in your financial circumstances or personal information that may affect our work.

Ensure that all documents and records provided to us are legible and correctly formatted.

Failure to comply with these obligations may result in delays or errors in the Services, for which we shall not be held liable.

6. Limitation of Liability

General Limitation: To the fullest extent permitted by law, we exclude all liability for any indirect, special, or consequential loss or damage incurred by you in connection with our Services, including but not limited to loss of profits, data, or goodwill.

Cap on Liability: Our total liability to you for any claim arising out of or in connection with the Services shall be limited to the amount of fees paid by you for the Services in question.

Indemnity: You agree to indemnify and hold harmless Ola Accountancy against any claims, damages, losses, or expenses (including legal fees) arising from your breach of these Terms or any applicable laws.

7. Confidentiality

We are committed to maintaining the confidentiality of your information. We will not disclose your personal information to any third party without your prior written consent, except where required by law or regulatory authorities.

8. Data Protection and GDPR Compliance

We are compliant with the General Data Protection Regulation (GDPR) and other applicable data protection laws. Personal data will only be processed for the purpose of providing our Services and will be stored securely. 9. Intellectual Property Rights

All materials, documents, reports, and other deliverables provided by us remain our intellectual property unless otherwise agreed in writing. You are granted a non-exclusive, non-transferable license to use these materials solely for the intended purpose related to our Services.

10. Termination

Termination by Us: We reserve the right to terminate our engagement with immediate effect if you fail to make payment, provide false information, or breach these Terms. In such cases, any fees due at the time of termination shall remain payable.

Termination by You: You may terminate our Services by providing us with 30 days’ written notice. All fees for Services rendered up to the termination date shall be payable immediately.

11. Force Majeure

Neither party shall be liable for any failure to perform its obligations under these Terms if such failure is due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, war, terrorism, or technical failures.

12. Dispute Resolution

In the event of a dispute arising from these Terms, both parties agree to engage in good faith negotiations to resolve the matter amicably. Should resolution not be achieved, you agree to submit the dispute to mediation or arbitration before pursuing legal action.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Amendments

We reserve the right to amend these Terms at any time. Any changes will be posted on our website, and your continued use of our Services following such modifications constitutes acceptance of the new Terms.

15. Entire Agreement

These Terms, along with any engagement letters or specific service agreements, represent the entire agreement between you and Ola Accountancy concerning our Services and supersede any prior agreements or understandings.
